Lounge Membership Terms
These Lounge Terms of Service (the "Terms") govern your use of the Lounge tier memberships offered by NYC SPACE 225 LLC, a New York limited liability company doing business as NYC Space ("NYC Space," "Space," "we," "us," or "our"). The Lounge tier memberships are Lounge 10 and Lounge Unlimited (each, a "Membership," and collectively, the "Memberships"). Day Pass is governed by a separate Day Pass Terms document.
By completing the purchase of a Membership on nycspace.com and checking the box to accept these Terms, you (the "Member") agree to be bound by all of the terms set forth below. If you do not agree, do not complete the purchase.
These Terms create a license, not a lease. Your Membership grants you a limited, personal, non-transferable license to use the Lounge and other shared amenities at NYC Space's premises at 225 Broadway, 2nd Floor, New York, NY 10038 (the "Premises"), in accordance with these Terms. No tenancy interest, leasehold estate, or other real property interest is created.
Section A · The Memberships
1. Lounge 10. A Lounge 10 Membership entitles you to ten (10) visits to the Lounge, to be used at your discretion. Each visit allows access to the Lounge during Business Hours on Business Days, and is consumed upon entry. Lounge 10 expires twelve (12) months from the date of purchase. 2. Lounge Unlimited. A Lounge Unlimited Membership entitles you to unlimited visits to the Lounge, twenty-four (24) hours per day, seven (7) days per week, subject to the Building's security and access procedures. Lounge Unlimited is billed monthly and auto-renews on the same day each calendar month until cancelled in accordance with Section C.2.
3. Business Days and Business Hours. "Business Days" are weekdays (Monday through Friday), excluding U.S. federal holidays, union-recognized holidays, and up to five (5) additional days chosen by NYC Space. "Business Hours" are generally 9:00 a.m. to 6:00 p.m., except on days before holidays, when Business Hours will end at approximately 3:00 p.m.
4. Photo Identification. All Members must present a valid government-issued photo identification at the lobby desk on each visit. NYC Space conducts a visual identification check; no copy is retained. NYC Space may refuse entry to any person who cannot present valid identification.

Section G · Legal Terms
1. No Landlord-Tenant Relationship. The Membership is a license, not a lease, and creates no tenancy interest, leasehold estate, fiduciary or agency relationship, partnership, or joint venture. Member specifically waives any and all rights that Member may have under any landlord-tenant laws or other rules or regulations governing the relationship between landlords and tenants.
2. Building Relationship. The Premises are located within 225 Broadway (the "Building"), which is operated by the Building's management. NYC Space is not responsible for disruptions to Building-controlled systems or services.
3. Waiver of Claims. To the extent permitted by law, Member waives any and all claims and rights against NYC Space, its affiliates, and each of their respective members, managers, officers, directors, employees, and agents resulting from injury or damage to, or destruction, theft, or loss of, property or person on or about the Premises. Personal property is brought to the Premises at Member's sole risk.
4. Indemnification. Member shall indemnify and hold harmless NYC Space and its affiliates from and against any and all claims, liabilities, and expenses, including reasonable attorneys' fees, resulting from any breach of these Terms by Member or any guest of Member, or any acts or omissions of any of the foregoing.
5. Limitation of Liability. NYC Space's aggregate monetary liability to Member for any cause shall not exceed the total amounts paid by Member to NYC Space under these Terms during the twelve (12) months preceding the event giving rise to the claim. NYC Space shall not be liable for any indirect, special, incidental, consequential, or punitive damages, including loss of profits or business interruption. Member may not commence any action against NYC Space unless the action is filed within one (1) year of the accrual of the cause of action.
6. Wireless Internet. NYC Space accepts no liability for any suspension, interruption, temporary unavailability, loss of data, security breach, or fault occurring in the wireless internet service, or any of the consequences thereof. The internet is not secure, and Member is solely responsible for any firewall, anti-virus, or other security measures.
7. Force Majeure. Neither party shall be liable for any delay or failure to perform as a result of any cause or condition beyond such party's reasonable control, including without limitation: epidemics, pandemics, public health emergencies, government orders, mandatory closures, restrictions on business operations, building closures, utility outages, internet or telecommunications outages, acts of terrorism, war, civil unrest, fire, flood, earthquake, or other acts of God or natural disasters, and labor disputes or strikes. Member's obligation to pay any fees due under these Terms shall continue notwithstanding any force majeure event, unless NYC Space, in its sole discretion, terminates the Membership or provides a fee abatement in writing.

9. Governing Law and Forum. These Terms are governed by the laws of the State of New York, without giving effect to any conflict of law principle that would result in the laws of any other jurisdiction governing these Terms. Any action or proceeding arising out of or relating to these Terms shall be litigated in courts located in New York County, New York, to the extent permitted by law. Member hereby irrevocably waives any right to a jury trial. Notwithstanding that the Membership is not a lease, NYC Space may bring a summary proceeding in New York City Civil Court to obtain possession on any breach of, or termination of, this Membership.
10. Intellectual Property. The names "Space," "NYC Space," the domain nycspace.com, the NYC Space logo and wordmark, and all other trade dress and branding elements of NYC Space are the exclusive property of NYC Space. Member shall not use any of the foregoing in any advertising, publicity, or other purpose without NYC Space's prior written consent.
11. Consent to Use of Data. Member consents to NYC Space's collection and use of personal, technical, operational, and related information (other than payment card information, which is handled by NYC Space's payment processor) for the purpose of providing the Membership, communicating with Member, billing, and NYC Space's own marketing and business purposes. NYC Space's privacy policy at nycspace.com governs the full scope of data use. Member may opt out of marketing communications at any time by following the unsubscribe instructions in any marketing email.
12. Amendments. NYC Space may amend these Terms from time to time, with notice by email to the address on file or other reasonable means. Continued use of the Membership after such notice constitutes acceptance of the amended Terms.
13. Severability. If any provision of these Terms is held to be void, invalid, or unenforceable, in whole or in part, the remaining portions shall remain in effect.
